EULA & Software License Terms

1. Grant of License

ARCA VISION LABS LLC grants you a perpetual, non-exclusive, non-transferable, revocable license to download, install, and execute the ARCA secrets manager binary solely on supported hardware and operating systems you own or control, in accordance with these terms.

• Perpetual Buy-Once License: ARCA is licensed as a standalone tool, not sold as a subscription service. Once acquired, access to run the binary is not subject to recurring software rental fees or network-gated authorization checks.
• No Account Mandate: Use of the software does not require account creation, email registration, or cloud identity provisioning.

2. Scope of Use & Restrictions

Except to the extent permitted by applicable open-source components or mandatory local law, you agree that you will not:

• Sublicense, lease, rent, redistribute, or resell the proprietary binaries or packaged artifacts to third parties.
• Modify, decompile, or reverse engineer proprietary portions of the packaged desktop shell, except where code is distributed under an explicit open-source license.
• Remove, alter, or obscure any copyright notices, trademark notices, or proprietary designations embedded within the software.

3. Local-First & Air-Gapped Architectural Disclaimers

• Self-Custody of Data: ARCA operates as a local-first application. The software creates and modifies encrypted vault files directly on your local storage. ARCA VISION LABS LLC does not maintain copies of your vault files, configuration payloads, or keys.
• Zero Escrow / Recovery Inability: Cryptographic master passwords and Shamir recovery shares are known only to you. ARCA VISION LABS LLC cannot recover, reset, bypass, or decrypt forgotten passwords, lost secret keys, or corrupted vault files under any circumstances.
• Synchronization & Backups: All storage destinations, offsite backups, cloud drive mounts (e.g., iCloud, Syncthing, rsync), and multi-device file transfers remain your sole operational responsibility.

4. Intellectual Property & Open Core

The software binary, user interface assets, trademarks, branding, and proprietary orchestration workflows are the exclusive property of ARCA VISION LABS LLC. Where specific cryptographic codecs or underlying libraries are released under permissible open-source licenses, those components remain governed by their respective repository licenses.

5. U.S. Government Restricted Rights (FAR / DFARS)

ARCA is commercial computer software and a commercial product as defined in FAR 2.101. Consistent with FAR 12.212 and DFARS 227.7202, U.S. Government end users acquire the software with only those rights set forth in this EULA. No additional government-purpose rights are granted except as a specific award may provide. This designation applies to the proprietary desktop binary, CLI, ssh-agent, and licensing components.

6. Termination

This license is effective until terminated. Your rights under this license terminate automatically without notice if you fail to comply with any material term. Upon termination, you must cease all use and delete all copies of the software binary.

7. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARCA SECRETS MANAGER IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. ARCA VISION LABS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION.

8. Limitation of Liability

IN NO EVENT SHALL ARCA VISION LABS LLC, ITS OFFICERS, OR AFFILIATES BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER—INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF PASSWORDS, DATA CORRUPTION, INABILITY TO DECRYPT SECRETS, OR SYSTEM DOWNTIME—ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Governing Law

This Agreement is governed by the laws of the State of Wyoming and applicable U.S. federal law, without giving effect to conflict of laws principles.
