1. Acceptance of Terms

By accessing or using the website at arca.vision, purchasing or downloading our software (including the ARCA secrets manager at /artifacts/arca), or engaging our engineering, AI, and technical consulting services, you agree to be bound by these Terms of Service. If you do not agree, do not access or use our services.

2. Company Overview & Scope of Services

ARCA VISION LABS LLC is an artificial intelligence, software engineering, and R&D firm based in Austin, Texas. We provide custom software architecture, AI research, and technical consulting across commercial enterprise, healthcare, and federal government sectors (including DoD and SAM.gov contract vehicles).

• Professional Services: Enterprise, healthcare, and government contracting work are governed by individual Statements of Work (SOW), Master Services Agreements (MSA), or federal procurement provisions (FAR/DFARS).
• Software Products: ARCA secrets manager is a standalone, local-first utility designed for self-hosted, offline operation without centralized servers or telemetry.

3. Product Architecture & User Responsibilities (ARCA Secrets Manager)

For standalone software tools including ARCA (/artifacts/arca):

• Local-First Architecture: The software operates locally without cloud-hosted vault storage or remote server dependencies. ARCA VISION LABS LLC does not maintain copies of your vault files, recovery shares, or passwords.
• Key Custody & Recovery: You retain sole ownership, custody, and control of your local files, master passwords, and recovery material. ARCA VISION LABS LLC cannot restore, decrypt, or recover lost vault files or forgotten credentials.
• Backups and Sync: You are solely responsible for managing backups, storage destinations, and synchronization workflows.

4. Intellectual Property

All proprietary code, algorithms, model architectures, website content, trademarks, and documentation provided on arca.vision remain the property of ARCA VISION LABS LLC or its licensors, except where third-party open-source licenses explicitly apply. Standalone software licenses grant a non-exclusive, non-transferable license for direct operational use as specified at the point of distribution.

5. Sector-Specific Compliance (Healthcare, Government & Commercial)

• Healthcare: Services and implementations touching Protected Health Information (PHI) comply with agreed Business Associate Agreements (BAAs) and applicable HIPAA standards.
• Government & Defense: Federal procurements and non-dilutive R&D deliverables strictly adhere to the specific data rights, FAR/DFARS clauses, and terms negotiated in executed solicitations and awards.
• Private Commercial: Commercial clients receive technical services and deliverables subject to the confidentiality and warranty terms outlined in their respective client agreements.

6. Disclaimer of Warranties

Except as expressly provided in an executed bilateral contract, all website materials, software tools, and digital artifacts are provided "as is" and "as available" without warranties of any kind, either express or implied, including fitness for a particular purpose, merchantability, or non-infringement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, ARCA VISION LABS LLC and its officers shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including data loss, loss of decryption access, service interruptions, or system failure, arising from the use of our website, software, or digital artifacts.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of Wyoming, without regard to its conflict of law principles. Any federal procurement activities remain subject to applicable federal acquisition statutes.
